Terms of Service

1. Agreement to Terms

By accessing or using the Clink mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the App.

2. Use License

Subject to your compliance with these Terms, Clink Innovated, LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.

You may not:

• Modify or copy the materials in the App
• Use the materials for any commercial purpose or public display
• Attempt to reverse engineer any software contained in the App
• Remove any copyright or proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account password and for any activities or actions under your account.

Account Requirements:

• You must be at least 13 years of age to use the App
• You must provide a valid university email address for verification
• You are responsible for maintaining the security of your account
• You must notify us immediately of any unauthorized use of your account

4. Acceptable Use Policy

You agree not to use the App:

• In any way that violates any applicable national or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate Clink, a Clink employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the App
• To harass, abuse, intimidate, harm, or threaten another person
• To post or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• To upload viruses or any other malicious code
• To scrape, spider, or use automated means to access the App

5. Content

Your Content

You retain all rights to any content you submit, post, or display on or through the App. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, publish, and display such content solely for the purpose of providing the App services.

Content Standards

All content you post must:

• Be accurate and truthful
• Comply with applicable laws and regulations
• Not violate any intellectual property rights
• Not contain hateful, discriminatory, or offensive material
• Not contain explicit adult content

Content Removal

We reserve the right to remove any content that violates these Terms or that we find objectionable at our sole discretion.

6. Intellectual Property

The App and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Clink Innovated, LLC and its licensors. The App is protected by copyright, trademark, and other laws of both the United States and foreign countries.

7. Privacy

Your use of the App is also governed by our Privacy Policy. Please review our Privacy Policy, which explains how we collect, use, and disclose information about you.

8. Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App or delete your account through the App settings.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CLINK INNOVATED, LLC MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY.

10. Limitation of Liability

IN NO EVENT SHALL CLINK INNOVATED, LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP.

11. Indemnification

You agree to defend, indemnify, and hold harmless Clink Innovated, LLC and its licensors and licensees, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from:

• Your use of and access to the App
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the App after any changes constitutes acceptance of those changes.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
